1. Acceptance of Terms

4. Subscription Plans & Billing

Revoxera offers various subscription plans for access to its Services. By selecting a paid plan:

• You authorize us to charge your payment method on a recurring basis (monthly or annually, depending on your selection).

• Subscription fees are non-refundable except as required by law or as specified in our Refund Policy.

• We reserve the right to modify our pricing with 30 days' notice. Your continued use after the price change constitutes acceptance.

• Failure to pay fees may result in suspension or termination of your account.

5. Intellectual Property

All content, features, and functionality of the Services — including but not limited to software, text, graphics, logos, and icons — are owned by Revoxera and are protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes. You may not copy, reproduce, distribute, or create derivative works based on our Services without our express written consent.

Any feedback, suggestions, or ideas you provide regarding the Services may be used by Revoxera without restriction or compensation.

6. User Content

You retain ownership of all content you upload, submit, or create through our Services ("User Content"). By submitting User Content, you grant Revoxera a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, and display such content solely for the purpose of providing and improving the Services.

You represent and warrant that your User Content does not violate any third-party rights, including intellectual property or privacy rights, and complies with all applicable laws.

7. Limitation of Liability

To the fullest extent permitted by law, Revoxera and its officers, directors, employees, and agents shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages.

• Any loss of profits, revenue, data, or goodwill.

• Any damages resulting from your inability to access or use the Services.

Our total aggregate liability to you for any claims arising out of or relating to these Terms or the Services shall not exceed the amount you paid us in the 12 months preceding the claim.

8. Disclaimer of Warranties

The Services are provided "as is" and "as available" without any warranties of any kind, express or implied. Revoxera does not warrant that:

• The Services will be uninterrupted, error-free, or secure.

• Any defects in the Services will be corrected.

• The Services or any content therein are free of viruses or other harmful components.

Your use of the Services is at your sole risk.

9. Termination

We reserve the right to suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to:

• Violation of these Terms.

• Fraudulent, abusive, or illegal activity.

• Non-payment of fees.

Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

10. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

You agree to bring any claim within one (1) year after the claim arose, or the claim will be permanently barred.

11. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you via email or through a prominent notice in the Services at least 14 days before the changes take effect.

Your continued use of the Services after the effective date of any changes constitutes your acceptance of the new Terms. If you do not agree with the changes, you must stop using the Services before they take effect.
